Description A remark that shareholders often make is, “I actually invest in the board of directors of that company." This remark is indicative of the tremendous responsibility which accompanies directorship. The writer observes that the board of directors commands a special place in the managing hierarchy of a company. As such its task includes to a greater or lesser extent the functions of management, planning, organising, directing, co-ordinating and control. Furthermore, it is the task of the board to guarantee the existence of the company within the framework of present and anticipated economic, political and social conditions. In order to achieve this fully, the board of directors must on the one hand have the confidence of the shareholders and, on the other hand, the loyalty of the management and the labour force.It is also necessary that the board of directors give priority to the interests of the company, that it clearly formulates its policy, that it sets realistic goals, that it gives recognition to the interests of the shareholders, that it selects top management with the greatest care and that it exercises the necessary control to ensure that the policy is carried out and that all objectives are attained. A director must think dynamically and adjust himself and his company’s activities to changing circumstances.
